Article I: Name The name of this organization shall be the African Student Association, hereafter referred to as ASA and in this document as the Association, a constituent of the Georgia Tech community.

Article II: Principle The African Student Association promotes interaction among all students of African origins, affiliations with all African nations and among students interested in African affairs

Article III: Aims and Objectives 1. Support the principle through a series of lectures, meetings and recreational activities. 2. Eliminate stereotypical discernment of Africa by exhibiting its civilization through lectures, cultural displays and social gatherings. 3. Promote amiable interaction among Africans and the Georgia Tech community. 4. Provide a welcome to join.ing environment for both newcomers and prospective African students. 5. Educate the members of the association as well as the general community about issues pertinent to the African continent. 6. Address the educational, cultural, political and social issues affecting members of the Association.

Article IV: Membership 1. Membership shall be granted upon a simple request made to the Vice President (Operations). 2. Members must be affiliated with the institute either through enrollment or employment. 3. All certified members reserve equal rights to any resource available to the Association and equal participation in any event sponsored by the Association except where limited in this constitution. 4. Persons who wish to renounce their membership may do so without restriction by submitting a brief statement to the Vice President, Operations. 5. Members are required to pay dues in part, or in full, to the financial secretary at the beginning of every semester, or academic year, to help support the financial well being of the Association. Such members are considered members in good standing. 6. Dues shall be determined by each new Executive Committee and shall remain stable for the academic year. 7. Article IV Section 4 covers members, who do not fulfill the requirements of Article IV Section 6, only by majority vote by members in good standing. 8. All members shall be informed of issues and events concerning the Association either through meetings, newsletters, fliers, posters, general e-mail, website publications or any other generally accepted form of disclosure. 9. Members are to respect each other's opinions considerably. 10. All members in good standing reserve equal rights to a single vote at general meetings of the Association. 11. A quorum shall be defined as 2/3 of the average number of members that attend general meetings per year. 12. Should there be a tie in any issue voted upon, the President shall be called upon to break the tie. Should the issue involve the President, the Vice President (Deputy) shall be called upon in to break the tie.

Article V: Committees Section 1. Overview The following committees shall be official subdivisions of the association, and shall be patronized by members of the Association. The members of the respective committees shall elect a chairperson for each committee, except where a chairperson has already been appointed by this constitution, at the beginning of each academic year. Should there be a vacancy created during the course of the year, the president shall appoint a new chairperson to serve for the remainder of the term. Members are allowed to join any and as many committees as they wish. The responsibilities of the committees are should not be such that they are to be handled alone. If the need for assistance should arise, then members of the executive committee shall be responsible for recruiting other members for assistance. The Vice President in charge of Operations shall supervise the activities of the various committees. Committees may be formed and discharged as deemed appropriate by the members of the Association.

Section 2. Finance Committee The following responsibilities shall be taken care of by the finance committee: 1. The committee shall make decisions on the amount of money withdrawn by the President and the Financial Secretary, from the account held by the Association. 2. The committee shall also be responsible for coordinating fund-raising events as the need for them arise and for handling the distribution of the proceeds from such events. 3. The committee shall be supervised by the financial secretary.

Section 3. Internal Activities Committee shall assist the executive committee in coordinating on campus events.

Section 4. External Activities Committee shall assist the executive committee in coordinating off campus events.

Section 5. Catering Committee shall be responsible for arranging for food whenever it is required.

Section 6. Entertainment Committee shall assist the executive committee in providing entertainment whenever it is required.

Section 7. Sports Committee the following shall assist the sports captain in arranging sporting activities for the Association

Article VI: Meetings 1. All meetings shall be held on a regular basis as decided upon by a majority of the members. A meeting shall be defined as a simple official gathering of members of the Association. 2. The appointed member shall run meetings. This is to encourage and strengthen the leadership of the executive committee in that the members begin to acknowledge various positions and the persons representing them. The variety in the leadership will also enable variety in the style of the meetings conducted. 3. Each semester's meeting schedule should include two Business Meetings. A Business Meeting shall address the state of affairs of the Association. It shall also include a Report by the Vice President, President and Financial Secretary. Should there be any other business needed to be addressed by other members of the executive committee, they may do so also. The first Business meeting should include a schedule of events already drawn by the Executive Committee and the Faculty Advisor. 4. Emergency meetings may be suggested by any member of the Association and confirmed with at least four of the eight members of the committee.

Article VII: Executive Body Section 1. Disposition The Executive Body shall be made up of a President, Vice President (Deputy), Vice President in charge of Operations, Financial Secretary, Secretary, Sports Captain, Webmaster and an Executive Member.

Section 2. Eligibility for Office 1. To be eligible for a position a member must either be enrolled or on co-op throughout the term of office. All candidates must be in good academic standing as defined by the Institute. 2. Candidates must have been a member of the Association for at least a semester. 3. Candidates must also be in good standing with the Association as defined by Article IV, Section 6.

Section 3. Duration of Offices 1. A term of office shall commence after the official hand-over from the previous officers and terminate when the officers official hand over to the next officers the following year. 2. The same person may keep any office for no more than two terms of office.

Section 4. Resignation of Office In the event that an officer wishes to resign, a formal letter addressed to the executive committee and the members of the association must be submitted to the Vice President (Operations). Should the Vice President wish to resign, the letter must be submitted to the Deputy Vice-President.

Section 5. Removal from Office A 2/3-majority vote by the quorum may remove anyone from office upon the request of any member of the association except current officers.

Section 6. Filling a Vacancy 1. Any vacancy in an office must be filled within 31 days after the vacancy occurs, by elections. 2. Any person filling a vacancy after midpoint of the academic year is still eligible to run for two terms of office as defined by Article VII Section 3 Clause 2.

Article VIII: Officer Duties Section 1. Vice President (Executive) 1. Shall take over the President's duties as and when necessary. 2. Shall be the correspondent for the Association for on campus activities. 3. Shall supervise all Committees. 4. Shall be responsible for checking the Association's mailboxes before every general meeting.

Section 2. Vice President (Operations) 1. Shall arrange meeting times and places for both executive and general meetings as well as ensuring that the venues are set for meetings. 2. Shall keep track of membership. 3. Shall conduct meetings in the absence of the Vice President (Executive) and President. 4. Shall supervise all Committees by serving as a direct reference. 5. Shall ensure reminders about meetings are promptly issued. 6. Shall be responsible for updating the Association's information at the beginning of their term of office.

Section 3. Financial Secretary 1. Shall be responsible for collecting membership dues. 2. Shall keep track of the financial status of the association. 3. Shall maintain the bank account(s) of the association. 4. Shall develop and manage proactive methods of raising money for the Association. 5. Shall chair the Finance Committee and serve as a direct reference. 6. Shall keep the members of the Association informed of its financial status.

Section 4. Secretary 1. Shall record minutes of both executive and general meetings. 2. Shall issue reminders about both executive and general meetings 3. Shall be responsible for writing letters on behalf of the Association to other organizations as the need arises.

Section 5. Webmaster 1. Shall be in charge of the Association's Webpage. 2. Shall make sure that the Webpage is updated regularly and information is posted in a timely fashion. 3. Shall be responsible for updating the general e-mail list.

Section 6. Sports Captain 1. Shall manage all sports teams affiliated with the Association. 2. Shall manage all other sports activities that involve the Association. 3. Shall be responsible for all intramural events hosted by the Association. 4. Shall chair the Sports Committee.

Section 7. Executive Member Shall assume any responsibility, as defined by Article VII, of any officer in the event of an emergency.

Section 8. President 1. Shall chair the executive committee. 2. Shall conscientiously defend the constitution. 3. Shall defend and promote the principle of the Association. 4. Shall defend the reputation of the Association both within the Institute and beyond. 5. Shall be the representative of the Association in the Institute's Presidents Council and at all public occasions. 6. Shall remain in contact with various chapters of the African Student Association and the International African Student Association. 7. Shall oversee and supervise all committees within the Association. 8. Shall conduct or appoint an officer to conduct general meetings. 9. Shall conduct all executive meetings. 10. Shall seek to resolve all conflicts within the Association. 11. Shall oversee the duties of the officers.

Article IX: Elections 1. Elections shall be held at least four weeks before the end of the academic year. 2. Officers shall be elected annually by the members of the Association. Candidates for each position must satisfy the requirements according to Article VII Section 2. Term of office shall commence right after the official hand over. 3. Candidacy for elections shall be officially declared, by the date decided upon by the Association with the secretary and the Vice President (Operations). 4. All members in good standing reserve equal rights to a single vote. 5. A quorum must be present during elections.

Article X: Faculty Advisor 1. The Association is entitled to more than one Faculty Advisor, however there shall be an overall Faculty Advisor appointed by the Association. 2. All members of Faculty or Staff are eligible for this position. 3. The duties of the Faculty Advisor shall be to dispatch advice to the members Association, advise the President on affairs that cannot be handled by the executive committee and serve as a intermediary between the Association and the Institutes administration

Article XI: Amendments 1. Amendments to this constitution shall be made withstanding a 2/3 majority vote by members in good standing. 2. An amendment may be proposed by any member of the Association in good standing. 3. All proposed amendments to this constitution shall be filed with the Secretary and the Vice President (Operations) before any meeting
